Case Tracking System (CTS) End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (referred to herein as "User," "You," or "Your") and Dark Matter LLC dba MoltenWare.com (referred to herein as "Provider," "We," "Us," or "Our") for the use of the Case Tracking System (CTS) software.

1. License Grant

Provider grants You a limited, non-exclusive, non-transferable license to use the CTS software for the purpose of managing and tracking cases related to Victim Advocacy. This license is subject to the terms and conditions set forth in this EULA.

2. Ownership

The CTS software, including the Access front-end and MS SQL back-end, is owned and copyrighted by Provider. All rights not expressly granted herein are reserved by Provider.

3. Use of the CTS

You agree to use the CTS solely for its intended purpose of managing and tracking cases related to Victim Advocacy. You shall not use the CTS for any unlawful or unauthorized purpose.

4. Data Ownership

You retain all ownership rights to the data, information, and content uploaded or inputted into the CTS ("Your Data"). Provider will not access or use Your Data for any purpose other than to provide the services outlined in this EULA.

5. Hosting Options

  • Off-Site Hosting (SaaS): Provider hosts the CTS on its servers and provides You access to the software via the internet.

  • On-Premise Hosting: Alternatively, You may choose to host the CTS on your own servers or infrastructure. In such cases, installation and configuration of the CTS for on-premise hosting shall be performed exclusively by ITProvision.NET.

6. Billing and Payment

The CTS is provided on a subscription basis, billed monthly in arrears. You shall pay Provider the agreed-upon subscription fee within thirty (30) days of receipt of invoice.

7. Confidentiality

Provider agrees to keep confidential all Your Data and shall not disclose or share Your Data with any third party without Your prior written consent.

 

8. Limitation of Liability

In no event shall Provider be liable to You for any indirect, incidental, special, or consequential damages arising out of or related to the use of the CTS.

9. Termination

Either party may terminate this EULA upon (90) days written notice to the other party. Upon termination, You shall have the opportunity to export or download all Your Data from the CTS before access is revoked.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under this EULA shall be resolved in the courts of [Jurisdiction].

11. Miscellaneous

This EULA constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
